Section 1
Caterly
Caterly provides software and related services designed to help independent restaurants build, manage, and grow catering businesses.
Caterly is not a catering company, food supplier, payment processor, legal advisor, tax advisor, or financial advisor.
Caterly provides software tools and recommendations. The restaurant remains responsible for its business decisions and customer relationships.
Section 2
Eligibility and accounts
You must provide accurate information when creating and maintaining a Caterly account. You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity conducted through your account;
- keeping account information accurate;
- ensuring that people accessing your account are authorized to do so; and
- notifying Caterly of suspected unauthorized access.
You may not use Caterly if you are prohibited from doing so under applicable law.
Section 3
Subscriptions and billing
Caterly is offered through paid subscription plans. The applicable subscription price, billing frequency, included features, usage limits, and any applicable add-ons will be presented before purchase.
Unless otherwise stated:
- subscriptions renew automatically at the selected billing interval;
- applicable charges are billed through the payment method associated with the account;
- taxes may be added where required; and
- subscription fees are generally non-refundable except where required by law or expressly stated otherwise.
Caterly may change pricing or plan features in the future. Where required, customers will receive appropriate notice before material changes take effect.
Section 4
Cancellation
You may cancel your subscription through the available account controls or by contacting Caterly. Cancellation generally prevents future renewal but does not automatically reverse charges already incurred. Unless otherwise stated, access may continue through the end of the current paid billing period.
Caterly may suspend or terminate an account for:
- material breach of these Terms;
- fraud or abuse;
- unlawful use;
- non-payment;
- security concerns; or
- conduct that creates a significant risk to Caterly or other users.
Section 5
Your content
You retain ownership of content and information that you submit to Caterly, subject to the rights necessary for Caterly to provide the service. This may include restaurant information, menus, branding, images, catering packages, customer information, inquiries, proposals, invoices, marketing content, and other business information.
You grant Caterly a limited, non-exclusive right to host, store, process, reproduce, modify, transmit, and display your content as reasonably necessary to provide, maintain, secure, and improve the services.
Section 6
Customer and prospect data
If you use Caterly to collect information from your customers or prospects, you are responsible for having an appropriate legal basis and required permissions to collect and use that information. You are responsible for:
- providing appropriate privacy notices;
- obtaining required consent;
- complying with applicable marketing laws;
- honoring unsubscribe and communication preferences;
- ensuring your use of customer information is lawful; and
- responding appropriately to customer privacy requests.
You must not use Caterly to unlawfully collect, disclose, sell, or misuse personal information.
Section 7
Marketing communications
Caterly may provide tools for email and SMS communications. You are responsible for ensuring that messages sent using Caterly comply with applicable laws and regulations, including requirements relating to consent, identification, unsubscribe mechanisms, and communication records.
You must not use Caterly to send:
- unsolicited communications where prohibited;
- deceptive or misleading messages;
- fraudulent, malicious, or unlawful content; or
- communications to people who have withdrawn required consent.
Caterly may suspend messaging functionality where we reasonably believe it is being abused or used unlawfully.
Section 8
AI features
Caterly may use artificial intelligence to generate recommendations, content, summaries, responses, classifications, or other outputs. AI output is provided as an assistive tool.
You are responsible for reviewing AI-generated content before publishing, sending, or relying on it. Caterly does not guarantee that AI-generated output will be accurate, complete, current, suitable for a particular purpose, or free from errors.
You remain responsible for your business decisions and communications with your customers.
Section 9
Opportunity Finder and business information
Caterly may provide information about potential catering opportunities, nearby businesses, organizations, or other prospects. Such information may be derived from third-party data, maps, public information, algorithms, or AI-generated analysis.
Opportunity information is provided for informational and business-development purposes. Caterly does not guarantee:
- that a business is currently operating;
- that a listed contact is accurate;
- that an organization needs catering;
- that a prospect will respond;
- that an opportunity will result in revenue; or
- that opportunity information is complete.
You are responsible for independently verifying information before contacting a prospect or relying on it.
Section 10
Public catering pages
Caterly may provide public-facing catering pages that can be accessed by members of the public. You are responsible for the accuracy and legality of information published through your public pages.
You must have the necessary rights to publish logos, photographs, menus, trademarks, descriptions, pricing, testimonials, and other content. Caterly may remove or disable content that violates these Terms or creates legal, security, or operational risk.
Section 11
Proposals and invoices
Caterly may provide tools for creating proposals, invoices, payment requests, and related catering documents. These tools are administrative software.
Caterly does not guarantee that a proposal, invoice, price, tax calculation, deposit requirement, or other commercial term is legally or commercially appropriate for your business. You are responsible for reviewing documents before sending them to customers.
Any payment processing is subject to the terms of the applicable payment provider.
Section 12
Third-party services
Caterly may integrate with third-party services. Your use of those services may be subject to their separate terms and privacy policies. Caterly is not responsible for third-party services that it does not control.
Third-party services may change, become unavailable, or modify their functionality without Caterly being able to prevent those changes.
Section 13

You agree not to:
- violate applicable laws or infringe intellectual property rights;
- attempt to gain unauthorized access or interfere with Caterly's infrastructure;
- reverse engineer the service except where legally permitted;
- introduce malicious code, scrape, or abuse Caterly infrastructure;
- use the service to send unlawful or abusive communications;
- impersonate another person or business;
- upload content that you do not have the right to use;
- use Caterly to commit fraud;
- attempt to circumvent usage limits or security controls; or
- use Caterly in a way that could materially harm the service or other customers.
Section 14
Intellectual property
Caterly and its licensors retain all rights in the Caterly platform, software, branding, design, documentation, technology, and other materials provided by Caterly. Except for the rights expressly granted in these Terms, no ownership rights are transferred to you.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from Caterly's software or proprietary materials except as permitted by law or expressly authorized by Caterly.
Section 15
Feedback
If you provide suggestions, ideas, or feedback about Caterly, you grant Caterly permission to use that feedback to improve the service without compensation or obligation to you. This does not transfer ownership of your underlying business content.
Section 16
Service availability
Caterly aims to provide a reliable service but does not guarantee uninterrupted or error-free operation. The service may occasionally be unavailable because of maintenance, upgrades, third-party outages, infrastructure failures, security incidents, internet or network failures, or circumstances beyond Caterly's reasonable control.
Section 17
Disclaimer of warranties
To the maximum extent permitted by applicable law, Caterly provides the service on an “as is” and “as available” basis.
Caterly does not guarantee that:
- the service will always be available or meet every business requirement;
- information will always be accurate;
- AI-generated output will be error-free;
- opportunity recommendations will generate revenue;
- prospects will respond or catering inquiries will convert;
- marketing campaigns will achieve a particular result; or
- the service will be uninterrupted or secure.
Section 18
Limitation of liability
To the maximum extent permitted by applicable law, Caterly will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or business interruption arising from or related to your use of the service.
To the maximum extent permitted by applicable law, Caterly's aggregate liability arising out of or relating to the service will be limited to the amounts you paid to Caterly for the service during the 12 months — to be confirmed through legal review preceding the event giving rise to the claim.
This section does not limit liability where such limitation is prohibited by applicable law.
Section 19
Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Caterly and its officers, directors, employees, and service providers from claims, losses, liabilities, damages, and expenses arising from:
- your use of the service;
- your violation of these Terms or applicable law;
- your content;
- your communications with customers or prospects; or
- your infringement of another person's rights.
This section remains subject to legal review.
Section 20
Termination
Caterly may suspend or terminate access where reasonably necessary to protect Caterly, its users, or the service, including for material breaches of these Terms, unlawful activity, fraud, security concerns, or non-payment. Upon termination, your right to use the service ends.
Where appropriate and technically feasible, Caterly may provide a reasonable period for you to export available account information before deletion.
Certain provisions of these Terms will survive termination, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and dispute-related provisions.
Section 21
Changes to these terms
Caterly may update these Terms from time to time. When material changes are made, Caterly may provide notice through the service, email, or another reasonable method.
Your continued use of the service after the updated Terms become effective constitutes acceptance of the updated Terms where permitted by law.
Section 22
Governing law
These Terms will be governed by the laws of province or territory and Canada — to be confirmed through legal review, without regard to conflict-of-law principles, subject to any mandatory legal requirements that apply to you.
The appropriate jurisdiction, venue, and dispute-resolution provisions will be confirmed before final publication.
Section 23
General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
These Terms, together with any applicable order form, subscription details, or other incorporated terms, constitute the agreement between you and Caterly concerning the services.
A failure by Caterly to enforce a provision does not waive the right to enforce it later. You may not assign your rights or obligations under these Terms without Caterly's prior written consent, except where permitted by applicable law.
